2. Definitions

TERMS AND CONDITIONS – These Terms and Conditions (for entrepreneurs – B2B) of the Online Store available at https://medastex.eu.

CLIENT – a natural person who is an entrepreneur, for whom using the Online Store, including concluding Sales Agreements, is directly related to their business activity and is of a professional nature.

SELLER – Medas Textile sp. z o.o., with its registered office in Janki, NIP: 5223079716, KRS: 0000654133, REGON: 36613532800000.

ONLINE STORE – the Seller’s online store available at https://medastex.eu.

ELECTRONIC SERVICE – a service provided electronically by the Seller to the Client via the Online Store, including in particular browsing the Product offer or placing orders via the website.

PRODUCT – a movable item or service available in the Online Store that is the subject of a Sales Agreement between the Client and the Seller.

ORDER – a declaration of intent submitted by the Client via the B2B Panel, directly to a Medastex sales representative, or via email to info@medastex.com, expressing the intention to conclude a Sales Agreement and containing the information required under these Terms.

SALES AGREEMENT – an agreement for the sale or manufacture of a Product concluded between the Client and the Seller under the Terms.

BUSINESS DAY – a day from Monday to Friday excluding public holidays.

§3. Electronic Services in the Online Store

The Service Provider offers the following Electronic Services via the Online Store:

  • a) access to the Client Account in the B2B Panel, enabling order placement, viewing selected product information and net prices;
  • b) an Order Form used to submit preliminary orders;
  • c) access to order and invoice history.

The B2B Panel is available exclusively to Entrepreneurs who have completed the registration process and have been approved by the Service Provider.

Prices displayed in the B2B Panel are net prices (excluding VAT) and are for informational purposes only. Due to variable roll weights, the final gross weight and order value may differ slightly.

Upon order completion, an invoice will be issued, constituting a binding Sales Agreement. Weight variance may be approximately 5%. In case of larger discrepancies, the sales team will contact the Client prior to invoicing.

Prices in the B2B Panel do not include delivery costs. Shipping fees are calculated individually and communicated during order confirmation.

Use of the B2B Panel requires internet access and a compatible web browser. The Client is solely responsible for maintaining login confidentiality.

4. Conditions for Concluding a Sales Agreement

A Sales Agreement is concluded after the Client submits an Order via the B2B Panel, by email to info@medastex.com, or directly to a Medastex sales representative, and after confirmation by the Seller.

The Order must include:

  • Client’s company name and VAT number
  • Client’s contact details (address, email, phone)
  • Shipping address
  • Product name/type
  • Product quantity

Confirmation of receipt and acceptance of the Order is sent by email. The Sales Agreement is concluded upon issuance of the invoice and payment by the Client.

5. Product Prices

  1. All prices are stated in Polish zloty (PLN), net.
  2. The final invoice depends on actual roll weight and is sent by email.
  3. The final price including delivery costs is shown on the invoice.

6. Payment Methods and Deadlines

  1. Available payment methods:
    • Bank transfer: Payment to the Seller’s bank account.
    • Payment on personal pickup: Cash or card payment.
  2. Payment deadline:
    • Bank transfer must be completed within 7 business days from order placement.
    • Failure to pay on time may result in order cancellation.

7. Territory, Delivery Costs, Methods and Time

  1. Delivery is available within Poland and the European Union upon prior arrangement.
  2. Final delivery costs are provided after order processing.
  3. Delivery / collection methods:
    • Courier services
    • Personal pickup: al. Krakowska 29, 05-090 Janki, Poland (8:30–15:30, business days)
  4. Orders are usually processed within 1–2 business days.
  5. Delivery time in Poland is 1–3 business days; EU delivery depends on the carrier.
  6. Delivery time may be extended due to extraordinary circumstances.
  7. Delivery time starts after payment confirmation.

8. Withdrawal from the Agreement

The Client has the right to withdraw from the Agreement within 14 calendar days, subject to the provisions of this section.

9. Effects of Withdrawal

In case of effective withdrawal, the Seller shall refund all payments within 14 days, using the same payment method unless agreed otherwise.

10. Exceptions to the Right of Withdrawal

The right of withdrawal does not apply to non-prefabricated goods or goods customized to the Client’s specifications.

11. Complaints

Complaints may be submitted via https://medastex.pl/reklamacja/ .

12. Out-of-court Complaint Resolution

Consumers may use mediation, arbitration courts, Consumer Ombudsman assistance, or the EU ODR platform: http://ec.europa.eu/consumers/odr/

13. Privacy Policy and Personal Data Protection

Personal data is processed in accordance with GDPR and applicable national laws.

14. Final Provisions

Placing an order constitutes acceptance of these Terms and Polish law. Any disputes shall be resolved by the court having jurisdiction over the Seller’s registered office.
